These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and 305 Film Masters, LLC ("305 Film Masters," "we," "our," or "us"), a Florida limited liability company. By accessing our website at 305filmmasters.com, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By using our website or entering into any service agreement with 305 Film Masters, you agree to comply with and be legally bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use our website or services.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of our services following any modifications constitutes acceptance of the revised Terms.

2. Description of Services

305 Film Masters, LLC provides professional smart privacy film installation services from our base in Miami, FL, including but not limited to:

  • Commercial privacy film installation
  • Residential privacy film installation
  • Office glass solutions
  • Conference room film
  • PDLC switchable film installation
  • Smart glass retrofits

The specific scope of services for each engagement will be defined in a written project agreement, Statement of Work (SOW), or signed proposal between the parties. In the event of any conflict between a project agreement and these Terms, the project agreement shall control.

3. Quotes, Pricing, and Payment

Quotes and Estimates

All quotes and project estimates provided by 305 Film Masters are valid for 30 days from the date of issuance unless otherwise stated in writing. Quotes are based on the project details provided at the time of inquiry. Material changes to project scope, location, schedule, or deliverables may require a revised quote.

Deposits and Payment Schedule

A non-refundable deposit (typically 50% of the total project fee) is required to reserve your project date and commence pre-installation work. The remaining balance is due upon project completion and final inspection, unless an alternative payment schedule is specified in your project agreement.

Late Payments

Invoices are due within the timeframe specified therein. Overdue balances may be subject to a late fee of 1.5% per month (18% per annum) on the outstanding amount. We reserve the right to withhold final project documentation until full payment is received.

Additional Expenses

Out-of-pocket expenses incurred in connection with your project (e.g., permits, specialty materials, equipment, travel beyond a designated radius) will be billed to you at cost plus a reasonable administrative fee, unless agreed otherwise in writing.

4. Client Responsibilities

To ensure a smooth project experience, you agree to:

  • Provide accurate and complete project information, including site details, access permissions, and building specifications
  • Obtain all necessary permits, clearances, and rights for the installation location
  • Ensure a safe and accessible working environment for our team and equipment
  • Provide timely feedback and approvals within agreed-upon review windows
  • Designate a primary point of contact with authority to approve project decisions

5. Intellectual Property

Ownership and License

All project designs, specifications, and technical documentation created by 305 Film Masters remain the exclusive intellectual property of 305 Film Masters until full payment is received. Upon receipt of final payment, 305 Film Masters grants the Client a non-exclusive license to use the final project documentation for the purposes outlined in the project agreement.

Portfolio and Promotional Use

Unless expressly prohibited in writing prior to commencement of the project, 305 Film Masters reserves the right to use project photographs, before/after images, and project descriptions in our portfolio, website, social media channels, and marketing materials. If confidentiality is required, please notify us in writing before the project begins.

Client-Provided Content

You warrant that any content, logos, designs, or materials you provide to us for use in your project are owned by you or that you have obtained all necessary licenses and permissions. You agree to indemnify 305 Film Masters against any claims arising from the use of client-provided content.

6. Cancellation and Rescheduling

Cancellations made more than 14 days prior to a scheduled installation date may be eligible for a partial refund of the deposit, minus any expenses already incurred. Cancellations within 14 days of the scheduled date forfeit the deposit in full. Rescheduling requests are subject to availability and must be made at least 7 days in advance. We reserve the right to charge a rescheduling fee for last-minute changes.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 305 FILM MASTERS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES PROVIDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to 305 Film Masters for the specific project giving rise to the claim in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so some of the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless 305 Film Masters, LLC, its members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your negligence or willful misconduct; (c) your violation of any third-party rights; or (d) any content or materials provided by you.

9. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter informally by contacting us at info@305FilmMasters.com. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal remedies.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction of such courts.

11. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any applicable project agreement, proposal, or Statement of Work, constitute the entire agreement between you and 305 Film Masters with respect to the subject matter herein and supersede all prior communications, representations, and agreements. No waiver of any term shall be deemed a further or continuing waiver of that or any other term.
